1. Acceptance of Terms

By creating an account or using Tieout, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree to these terms, you may not access or use our service.

We reserve the right to modify these terms at any time. Continued use of the service after any changes constitutes your acceptance of the new terms.

2. Description of Service

Tieout is a document verification platform that allows users to:

  • Upload source documents in various formats including CSV, PDF, Excel (XLSX, XLS), Word documents (DOC, DOCX), and plain text files
  • Compare generated reports against original data sources to verify accuracy
  • Detect AI hallucinations, fabricated data, and inaccurate statistics
  • Validate links and citations in AI-generated content
  • Generate detailed accuracy reports with discrepancy highlights
  • Maintain an audit trail of all verifications for compliance purposes

3. User Accounts

Account Registration

To use Tieout, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Keeping your account information up to date

Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms, fraudulent activity, or any other reason at our sole discretion.

4. Credits and Payments

Credit System

Tieout operates on a credit-based system. Each verification consumes credits based on the complexity of the documents being compared. Credits can be purchased through our available credit packs.

Purchases and Refunds

  • All credit purchases are final and non-refundable
  • Credits do not expire and remain in your account until used
  • Prices are subject to change, but changes will not affect already purchased credits
  • Payment processing is handled securely through third-party payment providers

5. Acceptable Use

When using Tieout, you agree not to:

  • Upload any content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Use the service to infringe upon intellectual property rights of others
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use automated scripts, bots, or other means to access the service without our permission
  • Reverse engineer, decompile, or disassemble any part of the service
  • Transmit viruses, malware, or any code designed to damage or disrupt the service
  • Use the service in any way that could damage, disable, or impair our servers

6. Document Upload and Processing

File Requirements

  • Maximum file size: 10MB per file
  • Supported formats: CSV, PDF, Excel (XLSX, XLS), Word (DOC, DOCX), and plain text (TXT)
  • Maximum of 25 source files per comparison

Content Ownership

You retain all ownership rights to the documents you upload. By uploading documents, you grant Tieout a limited, non-exclusive license to process your documents solely for the purpose of providing our verification services.

7. Intellectual Property

The Tieout service, including its original content, features, functionality, branding, and technology, is owned by Tieout and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our service without our explicit written permission.

8. Disclaimer of Warranties

Tieout is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • The service will be uninterrupted, timely, or error-free
  • The results of verifications will be 100% accurate or complete
  • Any errors in the service will be corrected within a specific timeframe

While we strive for accuracy, Tieout is a tool to assist with verification and should not be the sole basis for critical decisions. Users are responsible for reviewing and validating results.

9. Limitation of Liability

To the maximum extent permitted by law, Tieout and its affiliates, officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or business opportunities
  • Damages resulting from reliance on verification results
  • Costs of procurement of substitute services
  • Any other intangible losses

Our total liability shall not exceed the amount you paid to Tieout in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tieout, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of the service
  • Your violation of these terms
  • Your violation of any third-party rights
  • Content you upload or process through our service

11. Third-Party Services

Tieout may utilize third-party services for various functions including payment processing, AI processing, and cloud infrastructure. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.

12. Service Availability

We strive to maintain high availability of our service but do not guarantee uninterrupted access. We may temporarily suspend or restrict access to perform maintenance, upgrades, or address technical issues. We will make reasonable efforts to provide advance notice of scheduled maintenance.

13. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Tieout operates, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

14. Severability

If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and Tieoutregarding your use of the service and supersede all prior agreements and understandings.
